Terms of Sale and Software License

Last updated: 21 October 2026

You pay once for a perpetual license: the version you bought keeps working, and every Reelquill AI 1.x update is free. No subscription. A future 2.0 may be a paid upgrade, with a discount for 1.x owners.

A Personal license is for one person buying for themselves. A business license (Solo business, Team, Studio or Business) is for a business or other organization and the number of people it covers. Every license covers three Windows PCs per person; on a license for several people they are one pool the team shares.

What you make is yours. The app does its work on your PC and does not upload your files. If you connect an AI assistant, the text it reads (file names, transcripts, captions) goes to that assistant’s provider.

Clone only your own voice. Animate only your own photo, or the photo of someone who gave you permission. No impersonation, no deceptive deepfakes, no fraud.

Videos made with the presenter, an AI voice or your cloned voice are marked as AI-generated in the file, and you can add a visible “AI-generated” label. Where the law requires it, you must tell your audience.

Stripe handles the payment as merchant of record, and prices include tax. Changed your mind? Everything you paid back, tax included, within 30 days, no questions asked.

These terms are an agreement between you and NextGenOmni LLC about buying and using Reelquill AI. Please read them before you buy. The sections on AI features (section 6), disclaimers (section 14), limits on liability (section 15) and governing law (section 20) are especially important.

Contents

1. Who we are

Reelquill AI is made and licensed by NextGenOmni LLC, a limited liability company organized in the State of Indiana, USA, at 540 Cambridge Ct 1A, Munster, IN 46321, United States (“NextGenOmni”, “we”, “us”). Our website is nextgenomni.com, and you can reach us at support@nextgenomni.com.

In these terms:

  • “The app” means Reelquill AI, our screen recorder and video editor for Windows, including its installer, the AI models we ship with it, its documentation and any updates we give you.
  • “You” means the person who buys or uses the app. If you buy it for a company or other organization, “you” also means that organization, and you confirm that you may accept these terms for it.
  • “Your content” means what you put into the app: your recordings, sound, photos, music, text and other material.
  • “Output” means what the app makes for you: edited videos, Shorts, audio, voiceovers, transcripts, captions and other files.

2. Accepting these terms

By buying, installing or using the app, you agree to these terms. If you don’t agree, please don’t install or use it; if you have already bought it, you can ask for a refund within 30 days (section 11).

You must be at least 18 years old, or the age of majority where you live if that is higher, to buy a license or to use the app. Reelquill AI is made for adults and is not meant for children.

These terms, together with our Privacy page and our Refund Policy, are the whole agreement between you and us about the app. Your payment is also covered by Stripe’s checkout terms (section 10).

3. Your license

What you get. When your payment is complete, and as long as you follow these terms, we give you a perpetual, non-exclusive, non-transferable license (except as this section allows), which you may not sublicense, to install and use the version of the app you bought and its 1.x updates. “Perpetual” means it has no end date: it ends only as section 18 describes, or when you get a full refund. Section 3a explains what is perpetual and what is not. You are buying a license to use the app, not the app itself.

Editions. Reelquill AI is sold as a Personal license, for one person buying for themselves, and as business licenses, bought by a business or other organization: Solo business, for one person, and Team, Studio and Business, for a set number of people. Every edition is the same app, with every feature and no usage limits. The edition you bought and the number of people it covers are shown on our pricing page, on the page you see after you pay and in the email with your license key.

Personal license. A Personal license is for one individual who buys it for themselves, as an individual (the “licensed user”). If a business or other organization pays for the license, even a business with only one person, it needs a business license instead (section 10).

Business licenses. A Solo business, Team, Studio or Business license is bought by a business or other organization for the number of people the license covers (its “licensed users”): for example its owners, its employees, and contractors working for it. A Solo business license covers one person. The organization is responsible for keeping to the number of people its license covers.

Up to three PCs per person. A license for one person may be installed and used on up to three Windows PCs that the licensed user, or their organization, owns or controls, for example a desktop, a laptop and a work PC. A license for several people may be activated on three Windows PCs for each person it covers, in total, as one shared pool: any of its licensed users may use any of those PCs, and we don’t ask who uses which PC or collect the names of the people who use it.

Changing who uses it. An organization may change who its licensed users are for good, for example when someone leaves or changes role, but no more people than the license covers may use the app, for example by taking turns.

Activation. The app asks for your license key once on each PC and activates that PC with our activation server (section 7 explains what is sent). Reinstalling the app or Windows on the same PC doesn’t use another activation. Moving to another PC: open the license panel on the old PC and choose Deactivate this PC; that frees its activation for another PC. If the old PC is lost or broken, email us and we will free it at no charge. So that a license isn’t shared by taking turns, a license’s PCs can be changed at most 3 times in 30 days and 10 times in total, including the ones we free for you; past that, we review the license before freeing any more PCs, and may refuse if it looks shared. Your license key is part of your license: keep it to yourself (on a license for several people, to its licensed users), and don’t share it with anyone else, publish or sell it.

Moving up. You may move to a larger edition by paying the difference in price. Your license key stays the same.

Promotional and time-limited licenses. A license we give at no charge or for a limited time, for example to a reviewer or creator, is a Personal license that ends on the date we give you with it; the app shows that date. It can’t be sold, transferred or upgraded, and our refund policy doesn’t apply to it. When it ends, the app asks for a new key; your recordings, and the videos you made while it was valid, stay yours.

Personal and commercial use. Within these rules, you may use the app, and the output you make with it, for personal and commercial purposes, whichever edition you bought: the edition depends on who pays for the license, not on what you make with it.

Transfers. You may not sell, give away or lend your license. An organization may change its licensed users as described above, and may transfer its license to a company that takes over the business, or the part of it, that uses the app, if it tells us.

Backup copy. You may keep a copy of the installer to reinstall the app on your licensed PCs.

Updates and new versions. Your license covers the version you bought and every Reelquill AI 1.x update we release, at no extra cost (section 12). A future major version (2.0) may be sold as a paid upgrade. If it is, we will offer people who bought a 1.x license a discount on it, and the 1.x version you have keeps working.

We and our licensors keep every right that these terms don’t expressly give you.

3a. What is perpetual, and what is not

Two different things come with your purchase, and only one of them can honestly be promised without end.

Perpetual: your right to use the app. Your license for the version you have never expires. Each PC you activate checks its license against a cryptographic signature, so the app works without an internet connection. It does need to reach our activation server at least once every 90 days: each successful check renews that PC’s activation for another 90 days, and the app checks by itself about every two weeks whenever the PC is online. If a PC hasn’t been able to check for 90 days, the app asks you to connect to the internet and check again; nothing on the PC is deleted, and your license isn’t affected. Only a signed revocation, after a full refund or a chargeback or when we end a license under section 18, ends your license.

Not perpetual: the services around it. We provide the activation server, email support, new releases, compatibility with future versions of Windows and security updates on a reasonable-efforts basis. They may change or end. Ending any of them doesn’t end your license or stop your installed copy.

If the activation server closes. Your license doesn’t depend on NextGenOmni staying in business. Before we ever shut down the activation server, we will email every license holder at least 90 days ahead, release a final free update of the app that works without the server, and publish a way to activate the app without it, so that a license you have paid for keeps working on every PC it covers.

4. What you may not do with the app

Except where these terms allow it, where an open-source license allows it (section 9), or where the law allows it even though this section says otherwise, you may not:

  • copy the app, except to install it on your licensed PCs and keep a backup installer;
  • sell, resell, rent, lease, lend, sublicense or distribute the app or its installer, or make them available to others, for example on a file-sharing site;
  • let other people use the app through a hosted, shared or remote-access service (making videos for your clients with it is fine);
  • share, transfer or sell your license or license key, except as section 3 allows;
  • reverse engineer, decompile or disassemble the app, or try to find its source code;
  • modify, translate or make derivative works of the app;
  • remove, hide or change copyright, trademark, license or other notices, including the third-party notices and credits that come with the app;
  • get around, disable or interfere with any license check, activation or other technical protection in the app;
  • use the app in a way that breaks the law or section 6.

5. Your content and what you make

It’s yours. You keep all the rights you have in your content and your output. We claim no ownership of them, and because the app works on your PC, we don’t receive or see them.

The app is ours. We and our licensors own the app, including its code, design, and the Reelquill AI name and logo. These terms give you no right to use our name or logo.

Use material you have the right to use. You need the rights to everything you put into a video: music (the app comes with no music), images, logos, other people’s voices and faces, and what you record from your screen, such as other software, websites or videos, which may be protected by copyright or other rights.

AI output. Output made with the app’s AI features may be inaccurate (section 14), and in some countries it may not be protected by copyright. The app’s built-in AI voices are the same for every user, so other people can make speech in the same voices. Check your output before you publish or rely on it.

Feedback. If you send us ideas or suggestions, we may use them freely, without owing you anything.

6. AI features and acceptable use

The app can make speech in a voice cloned from a short sample (“your own voice”), and a talking head that speaks your narration, made from one photo (“the presenter”). Used wrongly, features like these can hurt people. These rules apply to everything you do with the app.

Your own voice only. Clone only your own voice. Don’t clone anyone else’s voice, even with their permission. The app asks you to confirm that the voice is your own before it makes a voice.

Presenter photos. Use only a photo of yourself, or of a person who has given you their explicit permission to make a talking head from their photo and to use it the way you use it. The app adds a photo only with a note saying who it is and that they agreed. If that person withdraws their permission, stop making new output with their photo and remove it from the app.

About permission. If the person in a photo is under 18, or under the age of majority where they live, the permission must come from their parent or legal guardian. Keep your own proof of every permission (for example an email or a signed note) for as long as you use the photo or the output made with it: the note you give in the app is your statement that you have permission, not proof of it. Don’t animate a photo of a public figure, celebrity or anyone else without their permission, including pictures you find online. For a person who has died, you need the permission of whoever holds the rights to their likeness.

Never use the app or its output to:

  • impersonate anyone, or make anyone appear to say or do something they didn’t say, do or agree to;
  • make a deepfake of a real person without their consent, or present AI-made audio or video as a genuine recording of a real person or a real event;
  • defraud or deceive anyone, including scam calls and messages, or get past voice- or face-based security checks;
  • mislead people about elections, candidates, voting or public authorities;
  • harass, bully, threaten, intimidate or defame anyone, or make hateful or discriminatory content;
  • make sexual content using a real person’s voice or likeness without their consent, or any sexual content involving a minor;
  • violate anyone’s privacy, publicity or personality rights, or intellectual property;
  • record people without the consent the law requires (some places require everyone on a call or in a meeting to agree);
  • make calls or messages with a cloned voice, including robocalls and telemarketing, without every consent the law requires;
  • do anything else that is illegal where you are or where your output is published.

AI-generated marking. When a video uses the presenter, an AI voice or your own cloned voice, the app marks the file as AI-generated in its metadata, in a form other software can read. You can also add a visible “AI-generated” label to the video; it is off unless you turn it on. Either way, the file stays marked.

Say when it’s AI. Where the law requires it, for example the European Union’s AI Act for deepfakes, clearly tell your audience that a voice or presenter in your output is AI-generated, whether or not the visible label is on. We encourage you to do so even where it isn’t required.

You are responsible for your content, for having every permission you need, and for the output you make, publish or share. We can’t see what you make with the app. If you seriously break this section, we may end your license (section 18), and we may cooperate with authorities and with the people affected as the law allows.

Report misuse. If you believe someone used Reelquill AI to clone your voice, or to animate your photo without your permission, email support@nextgenomni.com. The app works on its users’ own PCs, so we can’t see or remove what they make, but where we can identify the buyer, we may end their license (section 18), and we will help as the law allows.

7. Local processing and your privacy

Recording, editing, speech-to-text, the AI voices, your own voice and the presenter all run on your PC. The AI models come inside the installer, and the app does not upload your recordings, voices or photos to us or to anyone else. If you turn on AI assistants, the text they read goes to their providers (section 8). If an installed model file is missing or damaged, the app may download that file again. Our Privacy page explains this in full.

License checks. To activate a PC, the app sends our activation server your license key, the app’s version and three one-way codes (hashes) made from that PC’s Windows installation ID, system drive serial number and firmware ID, never the IDs themselves. About every two weeks, when the PC is online, it repeats this check with the same data, and each successful check renews the PC’s activation for 90 days. Deactivating a PC sends the same data. It sends nothing about your recordings, voices, photos or other files. If a check fails or times out, the app keeps working; only after 90 days without a successful check does it ask you to connect and check again (section 3a).

Face and voice data. To make your own voice, the app turns a short voice sample into the data its voice model needs; to make a presenter, it finds the face in the photo and works out the data its face model needs. It does this only on your PC, only after you confirm that the voice is your own, or that the photo is of you or of someone who gave permission, and only to make the voice or presenter you asked for, never to identify or recognize anyone. NextGenOmni never receives this data. Deleting a voice deletes its sample and the data made from it; removing a presenter photo deletes the photo and the data made from it. Voiceovers and presenter videos already made for a recording, and the videos made with them, stay until you delete them.

Because your files stay on your PC, we can’t recover them for you: keep your own backups.

If you use another person’s photo, you may be responsible under data protection and biometric privacy laws for their data, for example as the “controller” under the GDPR, or under U.S. state biometric laws such as those of Illinois, Texas and Washington: get their permission in writing where the law requires it, tell them how it is used and stored, keep it safe, and delete it when they ask or when you no longer need it.

8. AI assistants and other third-party services

AI assistants are optional and off by default. When you turn them on, you can connect AI apps that you choose, such as Claude Desktop, Claude Code, Cursor or VS Code, through MCP (the Model Context Protocol). When you ask it to, the app can add itself to an AI app’s settings (for example Claude Desktop’s). A connected assistant can read file names, transcripts and captions in your recordings folder and change your edits, and what it reads goes to that assistant’s provider.

Their terms apply. Your use of an AI app and its provider is governed by that provider’s own terms and privacy policy, which are between you and them, including any fees. We don’t control those apps or providers and aren’t responsible for them, or for what an assistant does, says or reads.

You stay in charge. By default, the app asks you itself before an assistant adds a new presenter photo, uses your own cloned voice on a recording, deletes voiceover clips you made, or removes a presenter photo. Allow only what you mean to. Assistants make mistakes, and text in your recordings (a file name, captions, what someone says) can carry instructions written by someone else, so check an assistant’s changes before you publish.

Other services. Other services you use with the app or this website, such as Stripe for payment, the host of a model file the app downloads again, or websites we link to, have their own terms, and we aren’t responsible for them.

9. Open-source and other third-party components

The app includes software and AI models made by others, under their own licenses: mostly open-source, and a few from Microsoft (such as DirectML and the Visual C++ runtime) under Microsoft’s terms. They are listed, with their full license texts, in THIRD-PARTY-NOTICES.txt, which is in the app’s install folder and opens from the app’s About box.

Where a component’s license gives you rights that these terms would otherwise restrict, that license wins for that component. In particular:

  • The app’s own build of FFmpeg, and the ffmpeg.dll that comes with Electron, are licensed under the GNU Lesser General Public License (LGPL). As the LGPL allows, you may replace them with your own builds, modify them for your own use, and reverse engineer the app as far as needed to debug such changes. The notices say where to get their source code.
  • The Pocket TTS model files (by Kyutai, converted by us), which make your own voice, are licensed to you under the Creative Commons Attribution 4.0 license (CC BY 4.0) by Kyutai and, for our changes, by us. Nothing in these terms limits or adds conditions to the rights CC BY 4.0 gives you in those files. Section 6 governs your use of the app and its features; it is not a condition of that license.

The makers of these components are not parties to these terms, give you no warranty through us, and don’t endorse the app.

10. Buying: price, payment and taxes

One-time purchase. You pay once for a license. There is no subscription, no recurring charge and no credits to buy. Every edition includes every feature, with no usage limits.

Price. The price and currency are shown on our pricing page and at checkout before you pay. Prices include any sales tax, VAT or GST that applies. We may change our prices, but that doesn’t affect a license you have already bought.

Personal or business purchase. Choose a Personal license if you are buying it for yourself, as an individual, and a business license (Solo business, Team, Studio or Business) if a business or other organization is buying it, even a business with only one person (section 3). We sell the Personal edition as software for personal use and the business editions as software for business use, which can change the sales tax that applies. If you aren’t sure which one fits, ask us before you buy.

Stripe is the merchant of record. Our checkout is run by Stripe (Stripe Managed Payments), which acts as the merchant of record for your purchase. Stripe processes your payment, calculates and collects any sales tax, VAT or GST that applies, and sends your receipt. Refunds are processed through Stripe, back to the payment method you used (section 11). Your payment is governed by the terms and privacy policy Stripe shows at checkout. We never receive your full card details.

The license comes from us. Once your payment is complete, NextGenOmni grants you the license under these terms. Keep Stripe’s receipt email: it is your proof of purchase, and we will ask for it if you need support or a refund.

Mistakes. If a price is shown wrongly by an obvious mistake, we may cancel the order and refund you in full.

11. Refunds

If you are not happy with the app for any reason, ask for a refund within 30 days of your purchase and you will get back everything you paid, including any tax charged, no questions asked. Email support@nextgenomni.com with your receipt. The refund is processed through Stripe, back to your original payment method. After a refund your license ends, and you must uninstall the app. A refund is for the whole order: we don’t refund part of a license, for example for people or PCs you didn’t use. If you paid to move up to a larger edition, you can ask for that payment back within 30 days of making it; your license then goes back to the edition you had. The details are in our Refund Policy. This promise is in addition to your legal rights (section 16).

12. Updates and support

Updates. Every Reelquill AI 1.x update is included in your license (section 3). We release updates, fixes and new features when they are ready, on a reasonable-efforts basis and without a promised schedule, except where the law requires an update (section 16). The app has no automatic updater: when we offer an update, you install it yourself by running the newer installer, which keeps your settings and voices. Updates are covered by these terms, or by the terms that come with them.

Support. We help by email at support@nextgenomni.com on a reasonable-efforts basis, without a promised response time. To help us find a problem, you may choose to send us the app’s log file; it may include file names and folder paths, so look at it first.

Older versions. We may stop offering updates or support for a version. The version on your PC keeps working as it did, but we can’t promise it will work with future versions of Windows, drivers or other software.

13. System requirements

The app needs Windows 10 or 11, 64-bit. Captions, the AI voices and your own voice work in English. The installer is about 1.3 GB, with every AI model inside, so it is one download. The full requirements are on our website; please check them before you buy. If the app doesn’t run well on your PC, you can ask for a refund within 30 days.

The presenter needs more: graphics with DirectX 12, 8 GB of memory (16 GB is better) and about 1.5 GB of free space. Before turning the presenter on, the app checks your PC, including a short speed test, and keeps the presenter off on a PC that would be too slow for it. The check is a guide, not a promise: how fast the app runs depends on your PC, and the times we publish were measured on one laptop.

14. Disclaimers

To the extent the law allows, the app is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that the app will be free of errors or interruptions, that it will work on every PC or with every other program, or that it will never lose data.

AI can be wrong. Transcripts and captions can mishear words. AI voices can mispronounce them, and a cloned voice may not sound exactly like the speaker. The presenter can look unnatural. Shorts suggestions, automatic edits and an assistant’s changes may not be what you want. Review all output before you publish it or rely on it.

Some places don’t allow these disclaimers. If you live in one of them, they apply to you only as far as your law allows (section 16).

15. Limitation of liability

To the extent the law allows:

  • NextGenOmni and its members, managers, employees and suppliers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business, arising from or related to the app or these terms, even if we were told they were possible; and
  • our total liability for all claims arising from or related to the app or these terms is limited to the amount you paid for your license.

These limits apply whatever the legal theory (contract, tort including negligence, or otherwise), and even if a remedy fails of its essential purpose.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

16. Your rights as a consumer

If you buy the app as a consumer, the law where you live may give you rights that no contract can take away, for example in the European Union, the United Kingdom or Australia. Nothing in these terms affects those rights, and where these terms conflict with them, the law wins. In particular:

  • if you are a consumer in the EU or the UK, we are responsible for the app matching its description and these terms as your law requires, including giving you the updates your law requires, and you have legal remedies if it doesn’t;
  • if you are a consumer in the EU or the UK, we are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, and if faulty digital content we supplied damages your device or other digital content, we will repair the damage or pay you compensation as your law requires;
  • if you are a consumer in the EU or the UK, you may have a legal right to withdraw from the purchase. Our 30-day refund promise gives you at least as much time anyway (see our Refund Policy).

17. Indemnity

To the extent the law allows, you agree to defend, indemnify and hold harmless NextGenOmni and its members, managers and employees against any third-party claim, and the losses, damages and costs (including reasonable attorneys’ fees) that come from it, arising from your misuse of the app, your breach of section 4 or section 6, your content or output, or your violation of any law or anyone’s rights. This section does not apply to you as a consumer where your law doesn’t allow it.

18. When the license ends

  • You can end it at any time by uninstalling the app and deleting your copies of it.
  • It ends with a full refund, including a payment reversed by your bank (a chargeback). A refund of a payment to move up to a larger edition only takes your license back to the edition you had.
  • We may end it if you seriously break these terms, for example by sharing your license or by misusing the AI features as section 6 describes. We will tell you by email, at the address you used to buy, and where the problem can be put right we will first give you a fair chance to do so, unless the breach is serious misuse that harms other people.

When the license ends, you must stop using the app, uninstall it and delete your copies; the app also stops working on your PCs at its next license check. Output you made lawfully before then stays yours. Sections 5, 9 and 14 to 22 continue to apply after the license ends. Unless the law requires otherwise, there is no refund when we end a license because you broke these terms.

19. Export controls and sanctions

The app is subject to United States export control and sanctions laws. You confirm that you are not located in, or ordinarily resident in, a country or region under a comprehensive U.S. embargo, and that you are not on a U.S. government list of restricted or sanctioned persons. You may not export, re-export or transfer the app in violation of those laws.

20. Governing law and disputes

These terms are governed by the laws of the State of Indiana, USA, and the federal laws of the United States that apply there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Tell us first. Before either of us starts a claim, the one with the dispute sends the other a written notice describing it and what they want: you to support@nextgenomni.com or to our postal address (section 23), and we to the email address you used to buy. We then both have 30 days to try to solve it. While we do, the time limits for bringing the claim are paused, as far as the law allows.

Courts. Any dispute arising out of or relating to the app or these terms will be decided only by the state courts located in Lake County, Indiana, USA, or the United States District Court for the Northern District of Indiana, Hammond Division, and you and we consent to the personal jurisdiction of, and venue in, those courts. However, either of us may bring an individual claim in any small claims court that has jurisdiction over it.

Your rights where you live. If you are a consumer, nothing in this section takes away a right you have under the law where you live to bring a claim in the courts there, and you keep the protection of the mandatory consumer laws of the place where you live.

21. Changes to these terms

We may update these terms, for example when we add features, when the law changes, or to make them clearer. The date at the top of this page shows when they last changed. Changes apply to purchases made, and updates installed, after that date. The terms you accepted when you bought keep applying to the version you bought, unless you agree to newer terms, for example by installing an update that comes with them.

22. General

  • Transfer by us. We may transfer these terms and your license to a company that takes over Reelquill AI or our business. Your rights under these terms will not be reduced because of that.
  • Severability. If a court finds part of these terms unenforceable, that part is limited as little as possible, and the rest stays in force.
  • No waiver. If we don’t enforce a part of these terms right away, we can still enforce it later.
  • Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Notices. We may contact you at the email address you used to buy. You can contact us at support@nextgenomni.com.
  • No third-party rights. No one other than you and us has rights under these terms.
  • U.S. government users. The app is “commercial computer software” and is licensed to U.S. government users only with the rights in these terms.
  • Language. These terms are written in English. If we provide a translation and they differ, the English version applies, except where your law requires otherwise.
